Acceptance of the Terms of Service
Thank you for using Boost, a website that gives start-ups and entrepreneurs access to experienced business people and other experts who can help you solve problems and grow your business. Boost provides and facilitates opportunities to consult and seek the advice of mentors who are here to help.
If you are an Advisor, your relationship with Boost is primarily governed by a separate agreement between you and Boost (each, an “Advisor Agreement”). As a result, some but not all terms and conditions in these Terms of Service will apply to you. If and to the extent there is a conflict between these Terms of Service and your Advisor Agreement, the Advisor Agreement will control unless otherwise specifically provided for in these Terms of Service. Note that in either case, if you are a citizen or resident of a foreign country, your relationship with Boost will still be subject to the laws of the United States and the State of Maryland, as provided below.
In this document (and any documents we incorporate by reference) we refer to the services available through Boost as our “Services.” These terms of service (including any incorporated documents) are collectively the “Terms of Service.” The Terms of Service govern your access to and use of www.boostinco.com (the “Website”), including any content, functionality, and services offered on or through the Website. The words “you” and “your” refer to anyone who accesses the Website or uses the Services.
This Website is offered and available to users who are 18 years of age or older and reside in the United States or any of its territories or possessions. By using this Website, you represent and warrant that you are of legal age to form a binding contract with Boost and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.
Changes to the Terms of Service
Boost may revise and update the Website and these Terms of Service (including without limitation any fees that may apply) from time to time in its sole discretion.
Boost will send an email to all Members and Advisors if these Terms of Service change, so it is important you provide correct contact information and keep it current. In addition, Boost will place a notice on its home page when changes are made to these Terms of Service.
All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction (below) will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website.
Your continued use of the Website following the posting of revised Terms of Service means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
Registration, Website Access, Limited License and Security
To access the Website and use the Services an individual must complete an account registration directly through the Website. After you complete an account registration you will have a limited, non-exclusive and non-transferable license to access the Website as either a “Member” or an “Advisor” (each defined below). By “access,” we mean navigating to any of our Website pages and using the Services. Everything you find on the Website is available “as is” and “as available.” This means that we cannot not guarantee that you will always be able to access the Website or the Services, or that your use will be uninterrupted or error-free. There are many things that can prevent or interrupt your access to the Website, and we are not responsible for anything we cannot control, such as the Internet. You are responsible for making all arrangements and providing all software necessary for you to access the Internet and the Website. We will not be liable if for any reason all or any part of the Website or Services are unavailable at any time or for any period.
BOOST AND THIS WEBSITE ARE AVAILABLE ONLY FOR THE PURPOSE OF PROVIDING THE SERVICES, SPECIFICALLY TO CONNECT MEMBERS AND ADVISORS AND PROVIDE A PLATFORM FOR THEM TO EXCHANGE INFORMATION AND ADVICE. YOU ACKNOLWEDGE AND AGREE THAT BOOST IS NOT A PARTY TO ANY AGREEMENT(S) BETWEEN MEMBERS AND/OR ADVISORS.
You may not have more than 1 active Boost account and Boost may suspend or terminate your Boost account and your access to the Website if you create more than 1 Boost account. You are solely responsible for not disclosing your password to anyone for all activities under your Boost Account, whether or not you have authorized such activities or actions. You must immediately notify Boost if you become aware of any unauthorized use of your Boost account.
You can also register to join by logging into your account with certain third party social networking sites (“SNS”) (each a “Third Party Account”) via our Website. Facebook or LinkedIn are examples (but not the only possibilities) of an SNS you might register through.
To link your Boost account and a Third Party Accounts, you allow Boost to access your Third Party Account subject to the applicable Third Party Account terms and conditions. If you link your Boost account, you must be entitled to disclose your Third Party Account login information and grant Boost access to that Third Party Account, and you represent that doing so does not breach any of the Third Party Account terms and conditions. You also represent that linking your Boost account will not obligate Boost to pay any fees or be any usage limitations that might apply to the Third Party Account.
You acknowledge that granting Boost access to a Third Party Account will allow Boost to access, make available and store (if applicable) any Content you provided to and stored in your Third Party Account (“SNS Content”). Further, your profile page may include information based on personal information you provide or that we access through an SNS (described below). That SNS Content may then be available on and through the Website. This could include personal information posted to your Third Party Account(s) that will be available on and through your Boost Account on the Website, depending on the Third Party Account and how you configure the privacy settings on each Third Party Account. Boost is not responsible for any SNS Content. Boost does not review any SNS Content for any reason (including without limitation, for accuracy, legality or non-infringement). Any SNS Content made available to Boost will be deemed Member Content unless these Terms of Service provide otherwise.
ONLY YOUR AGREEMENT(S) WITH A THIRD PARTY SERVICE PROVIDER WILL GOVERN YOUR RELATIONSHIP WITH THE APPLICABLE THIRD PARTY SERVICE PROVIDER. If a Third Party Account becomes unavailable for any reason (such as, but without limitation, because access is terminated by the Third Party Account provider), the Website will no longer make your SNS Content available on the Boost Website. You may always disable Boost’s connection to a Third Party Account through your profile page on the Website.
If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
Terminating An Account
Using the Website
Both Advisors and Members use the Services on the Website: “Advisors” provide information to Boost, and Boost in turn creates “Listings” which are provide information about Advisors and offers to provide advice, as facilitated by Boost through the Website. “Members” are looking for the information and advice provided by Advisors. The Services allow Members to connect with Advisors and schedule an “Appointment,” which is a telephone call with an Advisor in connection with and subject to the terms of a Listing.
An unregistered visitor to the Website may view Listings, but to use the Services you must first register with Boost. Boost only facilitates the Website, the Services, and interaction between Members.
Boost creates Listings for Advisors to offer his or her services to Members, and to this end, you (as an Advisor) will provide information regarding the expertise you offer as well as consult on pricing and other financial terms applicable to your offering. Listings will be made publicly available via the Website. Members will be able to schedule an Appointment with you via the Website based upon the information provided in your Listing. You understand and agree that once a Member requests an Appointment, the price quoted under your Listing may not be altered.
As an Advisor, you acknowledge and agree that you are responsible for providing correct and current on-boarding information for Boost to use when creating Listings. You also represent and warrant that your relationship with Boost (i) will not breach any agreements you have entered into with any third parties and (ii) will (a) comply with all applicable laws, Tax (meaning any sales taxes, value added taxes (VAT), goods and services taxes (GST) and other similar municipal, provincial, state and federal indirect or other withholding and personal or corporate income taxes) requirements, and rules and regulations that may apply to you and (b) not conflict with the rights of third parties. Please note that Boost is not obligated to verify any information or Content in Listings, including (without limitation) compliance with any applicable laws, rules and regulations. “Content” in these Terms of Service means text, graphics, images, music, software (excluding the Application), audio, video, information or other materials.
Boost reserves the right, at any time and without prior notice, to remove or disable access to any Listing for any reason, including Listings that Boost, in its sole discretion, considers to be objectionable for any reason, in violation of these Terms of Service, or otherwise harmful to the Website.
The Member-Advisor Relationship
Although Boost is selective in choosing the Advisors with Listing on the Website, and while Boost endeavors to select only qualified Advisors. Boost does not endorse or recommend particular Advisors to members. Boost does not confirm, or attempt to confirm, each Advisor’s identity or his or her credentials. Members should always research the identity and suitability of Advisors when selecting an Advisor and scheduling an Appointment.
Advisors provide advice based on information provided by Members and in response to a Member’s particular situation. Advisors rely on the completeness and accuracy of information provided by Members. Every Member must evaluate and apply an Advisor’s advice according to that Member’s circumstances. The advice received by a Member is not and will not be deemed to create any legal obligation between any Member, Advisor and/or Boost. Advisors are independent service providers and are not agents or employees of Boost or any Member. Advice to Members is provided “as-is” and “as-available” and neither Boost nor any Advisor make any guarantees or warrant any advice for any reason. Further, each Member agrees not to attempt to impose liability on, or seek any legal remedy from Advisors or from Boost with respect to any actions or omissions arising from or out of any advice, content or other information provided to such Member either during an Appointment or otherwise.
Appointments and Financial Terms
If you are an Advisor, the performance and financial terms applicable to your relationship with Boost are addressed in your Advisor Agreement.
All financial transactions with Boost are via its third party provider www.square.com or such other payment methods as may be listed on the Website, in U.S. dollars. Except as otherwise provided herein, Appointment Fees are non-refundable.
Appointments and Financial Terms for Members
You (as a Member), not Boost, are solely responsible for honoring any confirmed Appointments. If you choose to enter into a transaction with an Advisor by scheduling an Appointment via the Website, these Terms of Service and other terms, conditions, rules and restrictions associated with such Appointment as set out in the Listing may apply. You acknowledge and agree that Boost is not a party to any relationship(s) between you, as a Member, and your Advisors.
If you (as a Member) have a written agreement with an Advisor, it may include your obligation to pay that Advisor for certain equipment, software, or other items needed for your Appointment. Your payment of that obligation must be made directly to the Advisor through any mechanism (for example through Venmo or a similar third-party service), and Boost will not be liable for any such payment(s).
You agree to pay Boost all fees due in connection with any Appointment. In order to initiate an Appointment, you understand and agree that Boost reserves the right, in its sole discretion, to obtain a pre-authorization of your credit card or charge your credit card a nominal amount, not to exceed one U.S. dollar ($1), in order to verify your credit card. At the end of each Appointment, Boost will process and collect the applicable fees payable in accordance with these Terms of Service and the terms of the Listing. Please note that Boost cannot control any fees that may be charged to a Member by his or her bank related to Boost’s collection of any fees, and Boost disclaims all liability in this regard.
General Financial Terms
Up to twenty-four (24) hours prior to a scheduled Appointment, You (as a Member) may cancel an Appointment without penalty. If you believe you have been improperly charged for an Appointment that was cancelled and require a refund, please contact Boost at email@example.com.
You understand and agree that you are solely responsible for determining your applicable Tax reporting requirements in consultation with your tax advisors. Boost cannot and does not offer Tax-related advice to any Members of the Website.
Intellectual Property Rights
The Website and all of the Content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You agree that you will not delete or alter any copyright, trademark, or other proprietary rights notices from copies of Content from the Website.
Content from Advisors
Advisors may, at Boost’s sole discretion, submit to Boost, for use in a Listing, Content accessible by Members. In that event, you grant Boost a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit any Content provided to Boost on or in connection with the Website. Boost does not claim any ownership rights in any Advisor-provided Content.
You acknowledge and agree that you (as an Advisor) are solely responsible for all Content you make available, and you hereby represent and warrant that: (i) you either are the sole and exclusive owner of all such Content or you have all rights, licenses, consents and releases that are necessary to grant the above rights to Boost as set forth herein. Further, the Content nor Boost’s posting, uploading, publication, submission or transmittal of the Content and/or its use on or in connection with the Website will not infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
All other Content – in other words, Content that is not Advisor-provided Content – is owned or controlled by Boost. You acknowledge and agree that either Boost or its licensor(s) own all rights, title and interests in such Content. If you are and remain in compliance with the Terms of Service, Boost grants you a limited, non-exclusive, and non-transferable license to access and view Content (either Boost Content, Advisor Content or Member Content) solely for your personal and non-commercial purposes. You may not distribute, transfer, post, display, broadcast, adapt, create derivatives, sell or otherwise exploit any Content or the Website except as expressly permitted under these Terms of Service. These Terms of Service set forth your only rights and no other rights or licenses are transferred, implied or otherwise granted. You do not have a right to sublicense any of the foregoing Content license rights.
If you wish to make any use of material on the Website other than that set out in these Terms of Service, please address your request to: firstname.lastname@example.org.
If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of the Terms of Service, your right to use the Website will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. Any use of the Website or any Content not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark, and other laws.
The Boost name, the Boost logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Boost. You must not use such marks without Boost’s prior written permission. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.
You may use the Website only for lawful purposes and in accordance with these Terms of Service. You agree not to use the Website:
- In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
- To send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms of Service.
- To transmit, or procure the sending of, any advertising or promotional material [without our prior written consent], including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
- To impersonate or attempt to impersonate Boost, a Boost employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
- To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm the Boost or users of the Website, or expose them to liability.
Additionally, you agree not to:
- Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website.
- Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.
- Use any manual process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in these Terms of Service, without our prior written consent.
- Use any device, software, or routine that interferes with the proper working of the Website.
- Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.
- Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.
- Otherwise attempt to interfere with the proper working of the Website.
We have the right to:
- Remove or refuse any Content for any or no reason in our sole discretion.
- If a third-party files a valid complaint under the Digital Millennium Copyright Act (DMCA), Boost may disclose your identity or other information about you, in compliance with the DMCA, to any third party who claims that material posted by you violates their intellectual property rights.
- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.
- Terminate or suspend your access to all or part of the Website for any violation of these Terms of Service.
Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS BOOST FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY BOOST DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER BOOST OR LAW ENFORCEMENT AUTHORITIES. However, we cannot and do not undertake to review all Content before it is posted on the Website, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.
Linking to the Website
You may link to the Boost homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part. You agree to cooperate with us in causing any unauthorized framing or linking immediately to stop. We reserve the right to withdraw linking permission without notice.
Links from the Website
If the Website contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to this Website, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

YOUR USE OF THE WEBSITE, ANY CONTENT, AND ANY SERVICES IS ENTIRELY AT YOUR OWN RISK. ALL OF YOUR COMMUNICATIONS WITH ADVISORS AND OTHER MEMBERS, AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE THROUGH USE OF THE WEBSITE ARE SOLELY YOUR RESPONSIBILITY.
THE WEBSITE, CONTENT, AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
NEITHER BOOST NOR ANY PERSON ASSOCIATED WITH BOOST MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE WEBSITE. WITHOUT LIMITING THE FOREGOING, NEITHER BOOST NOR ANYONE ASSOCIATED WITH BOOST REPRESENTS OR WARRANTS THAT THE WEBSITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. Limitation on Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL BOOST, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, THE SERVICES, ANY LINKED WEBSITES, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

You agree to defend, indemnify, release and hold harmless Boost, any affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service or your use of the Website, including, but not limited to, any use of Content, and the Services, other than as expressly authorized in these Terms of Service, or your use of any Content or other information obtained from the Website.
Governing Law and Jurisdiction
All matters relating to the Website and these Terms of Service, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Maryland without giving effect to any choice or conflict of law provision or rule (whether of the State of Maryland or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Maryland, in each case located in the City of Baltimore, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Service in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
The provisions of this section concerning Governing Law and Jurisdiction will apply to all aspects of your relationship with Boost notwithstanding anything to the contrary in a separate agreement between Boost and you, including, without limitation, any Advisor’s agreement with Boost. The foregoing shall not affect any rights of a Member under applicable state or federal privacy law(s).
At Boost’s sole discretion, it may require You to submit any disputes arising from these Terms of Service or use of the Website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Maryland law.
Limitation on Time to File Claims
